Terms of Service

These Terms cover the marketing website only. They do not govern the AI services Praxis AI delivers to client practices. Those services — including AI Front Desk, after-hours intake, no-show recovery, eligibility checks, and clinical documentation tools — are provided under separate written agreements (and, where PHI is involved, a Business Associate Agreement) between Praxis AI and the client practice. Nothing on the Site, and nothing in these Terms, creates a service engagement.

You may use the Site only if you are at least 18 years old and able to form a binding contract under applicable law. By submitting an inquiry, you represent that any information you provide is accurate and that you are authorized to provide it.

You agree not to:

• Scrape, crawl, harvest, or copy the Site or its contents by automated means, except that well-behaved search engine crawlers may index public pages.
• Submit false, misleading, or impersonating information through the contact form.
• Stuff, flood, or otherwise abuse the contact form, including by submitting through the honeypot field or by attempting to bypass rate limits.
• Probe, scan, or test the vulnerability of the Site, or breach or circumvent any security or authentication measure.
• Upload or transmit malware, scripts, or other code intended to interfere with the Site.
• Use the Site to send unsolicited commercial messages, recruit, or solicit Praxis AI personnel.
• Submit Protected Health Information through the Site. The Site is not designed to receive PHI.
• Use the Site in a way that violates any applicable law.

We may block, throttle, or refuse access to anyone who violates these rules.

The Site and its content — including text, layout, graphics, logos, the “Praxis AI” name, and underlying code — are owned by Praxis AI or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for the purpose of evaluating Praxis AI's services. You receive no other rights. You may not copy, modify, distribute, sell, or create derivative works from the Site without our prior written consent, except that you may share links to public pages.

If you submit ideas, feedback, or suggestions about Praxis AI or the Site, you grant us a perpetual, worldwide, royalty-free license to use them without obligation to you.

The Site provides information about Praxis AI's services and how they work operationally. It does not provide medical, clinical, diagnostic, or treatment advice. Nothing on the Site should be relied on as a substitute for professional medical judgment. Clinical decisions are, and remain, the responsibility of licensed providers.

Praxis AI sells AI-driven operational tools. Although the Site itself does not put visitors in contact with these tools, you should understand that AI systems can and do produce errors, omissions, and inaccuracies. In any future engagement, the licensed providers and staff of the contracting practice retain final decision authority over any output produced by Praxis AI's services. Service-level commitments, accuracy expectations, and oversight requirements are addressed in each engagement's separate written agreement.

The Site relies on third-party providers for hosting, email delivery, DNS, and similar functions. We do not control those providers, and their services are governed by their own terms. The Site may also link to third-party websites; we are not responsible for the content or practices of those sites.

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, Praxis AI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any defects will be corrected.

To the fullest extent permitted by law, Praxis AI and its operators, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the Site, including lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of those damages. Our total aggregate liability arising out of or related to the Site will not exceed one hundred US dollars (USD $100). Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum extent permitted.

You agree to indemnify, defend, and hold harmless Praxis AI and its operators, employees, and contractors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or related to the Site or these Terms must be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of those courts. Each party waives any objection to that venue.

If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be modified, and the remaining provisions will stay in full force.

These Terms, together with the Privacy Policy, are the entire agreement between you and Praxis AI regarding the Site, and supersede any prior agreements on that subject. Any service engagement is governed by the separate written agreement for that engagement.

We may update these Terms from time to time. When we do, we will change the “Last updated” date below. Material changes will be reflected on this page; continued use of the Site after a change means you accept the updated Terms.
